Understanding Intellectual Property Law has become essential in an age of fast paced technological advances. This new two-day seminar is intended to familiarize attendees with the fundamentals of Intellectual Property Law in Canada, common legal terminology, and the basics on drafting Licensing Agreements.

Both new and experienced contracting, purchasing, and supply management professionals who desire to understand basic intellectual property law, as well as an analysis of terms and conditions commonly found in licensing agreements will benefit from this seminar.  Attendees shall be required to have successfully completed the FUNDAMENTALS OF CONTRACT LAW seminar in order to participate in this seminar.

Program Description

The newly developed interactive seminar will be divided into 2 complementary parts. The first part focuses on learning the basic theory of intellectual property law in Canada including the laws on trademarks, patents, copyrights, trade names, and trade secrets. The second part is an interactive practical session on negotiating and drafting effective intellectual property clauses and licensing agreements. The emphasis is on giving the attendees tools and information to prevent and solve legal problems.

Day 1: Fundamentals of Intellectual Property Law

  • An assessment of the knowledge base of the attendees.
  • Review of basic contract theory
  • An overview of basic Intellectual Property Law concepts such as Trademarks, Copyrights and Patents in Canada
  • Nature and extent of registered and unregistered rights in intellectual property
  • Using the internet as a resource tool for intellectual property issues
  • Taking the fear out of legal language
  • Case studies relating to the foregoing
  • Tips on protecting Intellectual Property

       Day 2: Negotiating and Drafting Intellectual Property Clauses and Licensing Agreements

  • The foundations of negotiating and drafting effective intellectual property clauses and Licensing Agreements
  • Detailed discussion of a wide variety of standard contract clauses (terms and conditions) in Licensing Agreements and other contracts
  • How to avoid typical Intellectual Property Agreement conflicts
  • Developing analytical and communications skills to facilitate the effective handling of intellectual property matters
  • Find out how to avoid legal disputes and when to seek legal advice
